• Fraudulent Orders: Placing orders with no intention of payment, submitting false payment information, or engaging in any form of payment fraud;
• Account Misuse: Creating multiple accounts to circumvent promotions, sharing account credentials with unauthorized parties, or using another person's account without permission;
• System Interference: Using automated tools, bots, scrapers, or scripts to access, collect, or interact with any portion of our Site or Services in an unauthorized manner;
• Harmful Conduct: Uploading or transmitting viruses, malware, or any code designed to disrupt, damage, or interfere with our systems, networks, or Services;

4. Intellectual Property Rights

All content, materials, and assets available through our Site and Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the overall design and arrangement of the Site ("Intellectual Property"), are the exclusive property of Pizza Ranch or its licensors and are protected under United States copyright law (17 U.S.C. § 101 et seq.), trademark law (15 U.S.C. § 1051 et seq.), and other applicable intellectual property statutes and regulations.

The Pizza Ranch name, logo, and all related marks, trade dress, and brand identifiers are trademarks or service marks of Pizza Ranch. Nothing in these Terms grants you any right to use any trademark, trade name, service mark, or logo of Pizza Ranch without our express prior written consent.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Site solely for personal, non-commercial purposes related to ordering food and using our Services. This license does not include the right to:

All prices listed on our Site or menu are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable taxes, delivery fees, or service charges, which will be displayed and calculated at checkout. We strive to ensure pricing accuracy; however, in the event of a pricing error, we reserve the right to cancel or adjust affected orders and notify you accordingly.

5.4 Refunds and Cancellations

Refund and cancellation policies vary based on the type of order and timing of the request. Orders that have already been prepared or dispatched for delivery generally cannot be cancelled. Pizza Ranch reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Pizza Ranch's defense of such claim.

These Terms of Service and any disputes arising out of or related to them or your use of the Services shall be governed by and construed in accordance with the laws of the United States and the state in which Pizza Ranch's principal place of business is located, without regard to its conflict of law provisions.

To the extent any dispute is brought in court (and subject to the arbitration provisions below), you and Pizza Ranch agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the United States. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Additionally, as a United States-based business serving consumers, Pizza Ranch operates in compliance with applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and other relevant federal statutes enforced by the Federal Trade Commission (FTC). To the extent that our customers are residents of the State of California, the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) may apply to the processing of their personal information, and such rights are addressed in our separate Privacy Policy.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceeding, we encourage you to first contact Pizza Ranch directly at [email protected] to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any complaint or concern within thirty (30) days of receipt. Both parties agree to attempt informal resolution prior to initiating arbitration or litigation.

12.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, the breach thereof, or your use of the Services shall be finally settled by binding arbitration administered in the United States in accordance with the rules of the American Arbitration Association (AAA) or a mutually agreed-upon arbitration provider. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the conclusion of arbitration.

12.3 Class Action Waiver

YOU AND PIZZA RANCH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

12.4 Limitation Period

Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after such claim arose, or it shall be permanently barred. This limitation applies regardless of any statute or law to the contrary.

13. Term and Termination

These Terms are effective from the date you first access or use our Services and shall remain in full force and effect until terminated by either party.

Termination by You: You may terminate your account and cease using our Services at any time by contacting us at [email protected] and requesting account deletion. Termination does not relieve you of any obligations incurred prior to termination, including outstanding payment obligations.

Termination by Pizza Ranch: We may suspend or permanently terminate your account and access to the Services at any time, with or without cause, including if we believe you have violated these Terms, engaged in fraudulent activity, or behaved in a manner that is harmful to Pizza Ranch, its employees, or other users. In cases of serious violations, we may take immediate action without prior notice.

Effect of Termination: Upon termination, your right to access and use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution provisions.

Our kitchen facilities may handle and process common food allergens including wheat, dairy, eggs, tree nuts, peanuts, soy, fish, and shellfish. Cross-contamination is possible.

Pizza Ranch shall not be responsible for any adverse health outcomes resulting from undisclosed allergen sensitivities or failure to disclose relevant dietary needs prior to ordering.

18. Force Majeure

Pizza Ranch shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes, power outages, telecommunications failures, supplier disruptions, civil unrest, or any other event of force majeure. If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be unlawful, invalid, void, unenforceable, or contrary to applicable law, that provision shall be deemed severed from these Terms to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable, consistent with the original intent of the parties.

The failure of Pizza Ranch to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing by Pizza Ranch.

20. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or additional terms and conditions posted by Pizza Ranch on the Site, constitute the entire agreement between you and Pizza Ranch with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, agreements, and understandings, whether written or oral, between the parties relating to the same subject matter.

No oral representations, assurances, or statements made by Pizza Ranch employees, representatives, or agents shall modify or supplement these Terms unless expressly incorporated in writing and signed by an authorized representative of Pizza Ranch.

No waiver by Pizza Ranch of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Pizza Ranch to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Pizza Ranch. Pizza Ranch may freely assign its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, operation of law, or otherwise, without restriction and without notice to you.
